1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your use of the compahealth.io website and the Compa early access waitlist (together, the "Service"), operated by CompaHealth ("CompaHealth," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Service Description

CompaHealth is building Compa, an AI healthcare action agent designed to help people coordinate care for themselves and their loved ones, such as finding and booking care, dealing with pharmacies and insurers, and keeping track of what comes next. Compa is in development and is not yet available to the public.

Today, the Service lets you learn about Compa and join a waitlist for early access. Joining the waitlist does not guarantee access, and we may invite people in any order and at any time.

If we invite you to use Compa, your use of it will be governed by additional terms that we will provide at that time. Those terms will control if they conflict with these Terms.

3. Not Medical Advice

THE SERVICE DOES NOT PROVIDE MEDICAL ADVICE. Compa coordinates care. It does not diagnose, prescribe, or give medical advice, and CompaHealth is not a healthcare provider. Any information, text, or data provided through the Service is for informational purposes only. For medical emergencies, please call 911 or your doctor immediately.

4. Privacy

Our Privacy Policy and our Consumer Health Data Privacy Policy explain how we collect, use, and share information through the Service. Please review them.

5. User Information

To join the waitlist, you provide your email address. If you contact us, you may also choose to share other information with us.

5.1 User Responsibilities

Users of the Service agree to:

• Be at least 18 years old. Persons under the age of 18 are not permitted to use the Service or join the waitlist.
• Be based in the United States ("US"). Compa is intended for US customers only.
• Provide accurate and complete information, and join the waitlist only with an email address you are authorized to use.
• Use the Service in accordance with all applicable laws.
• Not use the Service for emergency medical situations.
• Not text, upload or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail", "spam", "chain letters", or any other form of solicitation.
• Not attempt to disrupt, overload, or gain unauthorized access to the Service.

6. Service Availability

• We may change, suspend, or discontinue the Service, including the waitlist, at any time.
• We do not guarantee when early access will open, whether you will be invited, or that Compa will become generally available.

7. Communication Consent

By joining the waitlist, you consent to receive emails from us regarding:

• Your place on the waitlist and invitations to early access
• Updates about Compa as it develops
• Follow-up questions about your experiences managing healthcare
• Marketing communications (subject to opt-out)

You can unsubscribe at any time using the link in our emails or by contacting us.

8. Accuracy of Information

We work to keep the information on our website accurate, but it describes a product in development. Features, availability, and pricing may change before Compa launches, and we make no guarantees, warranties, or representations that Compa will include any particular feature.

9. Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by CompaHealth. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that CompaHealth shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit.

10. User Feedback and Submissions

By providing any feedback, comments, suggestions, ideas, or submissions regarding our Service or Compa ("Feedback"), you agree that:

• All Feedback will be considered non-confidential and non-proprietary.
• CompaHealth may use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
• You grant CompaHealth a royalty-free, perpetual, irrevocable, worldwide, and fully sublicensable license to such Feedback.
• You warrant that you have the right to provide such Feedback and that it does not infringe the rights of any third party.

This includes any feedback provided through surveys, emails or conversations with our team, feature requests, or any other form of suggestion or comment.

11. Fees and Payment

The website and waitlist are free. We plan to introduce paid plans for Compa after our beta. We will share pricing well before any charges apply, and you will not be charged unless you choose a paid plan.

12. Limitation of Liability

To the maximum extent permitted by law, CompaHealth shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss resulting from reliance on information provided through the Service
• Service interruptions or technical issues
• Information accuracy from third-party sources

13. Indemnification

Users agree to indemnify and hold harmless CompaHealth and its founders, employees, officers, and agents from any claims, damages, or expenses resulting from their use of the Service.

14. Modifications to Service and Terms

We reserve the right to modify or discontinue the Service or these Terms at any time. We will update the "Last Updated" date above when these Terms change, and notify waitlist members of significant changes by email.

15. Termination

We may terminate or suspend access to our Service, including removing you from the waitlist, immediately, without prior notice, for any reason, including breach of these Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
